As Merkur’s acquisition of Casigrangi would grant indirect control over SFC, French regulations require Merkur to launch a simplified mandatory tender offer for the remaining SFC shares it does not already hold. 

This tender offer will be at the same price of €6.19 per share.

Egypt’s gambling rules were written around physical venues. Law 8 of 2022 provides that “gambling games may not be practised in establishments except by non-Egyptians”. No licensing framework exists for online betting.

In October 2024 the then-prosecutor general ordered the freezing of e-wallets and the suspension of mobile lines used by betting agents. Separately, in February this year, officials said regulators were working with the telecoms authority and the media council towards blocking about 80% of betting applications by the end of that month.

Ahmed Badawi, who chairs the House communications committee, said in May that the government would amend the anti-cybercrime law to name online betting explicitly. Life imprisonment was discussed for the gravest offences. No bill number or text has been published.

“I’ll be very, very open and straightforward about it,” Weizer told analysts on Playtech’s post-Q2 earnings call. “There were certain concerns that because it is an election year, and obviously, gaming is a political issue or there were references by politicians throughout the elections about gambling.

“Given the sensitivity around that, we were kindly asked to collaborate with the government [and] with the prospective customer that we are in discussions with to wait until the elections.”

Despite the delay, Weizer declared: “I will say that the expectations remain the same to enter into an agreement and launch sometime at the beginning of next year.”
